Terms and Refund Policy

Agreement and eligibility

By creating an account or using Ezer, you agree to these Terms. You must be legally able to form a binding contract and provide accurate account information. If you use Ezer for a business or organization, you represent that you are authorized to bind it.

Current service and enrollment

Ezer AI Concierge lets an account owner configure, review, preview, install, publish, unpublish, and pay for one website Concierge. The former Windows and X desktop application is retired. Enrollment and individual payment methods may be temporarily closed by safety controls. Creating an account does not start a subscription or authorize a charge.

Website authority and content

You must own or be authorized to manage every website you submit, verify, crawl, or install Ezer on. You retain rights in content you provide and grant Ezer a limited license to fetch, process, store, display, and generate service output from that content. You must not provide unlawful, infringing, deceptive, or unauthorized material.

Owner approval and AI limitations

Website material, extracted knowledge, and AI output may be incomplete or wrong. You are responsible for reviewing proposed knowledge, approving only accurate content, keeping important information current, and providing an appropriate human contact path. Ezer is not professional medical, legal, financial, employment, housing, insurance, education, or other high-impact advice and may not be used to make those decisions.

Concierge pricing

Concierge is $40 USD monthly through Stripe or $20 USD-equivalent monthly through KWEEN. Optional top-ups are $40 USD through Stripe or $20 USD-equivalent through KWEEN. Each qualifying payment grants 27,000,000 credits under the credit rules below. Concierge is monthly only, and one subscription covers one verified website. The exact checkout or KWEEN quote controls the payment before it is submitted. During the initial proof-of-concept, Ezer does not collect sales tax through Stripe or KWEEN. Stripe still collects billing-address evidence; KWEEN does not collect customer location. Tax collection may begin later where Ezer is registered and required to collect it, and the checkout or quote will show the final amount before payment.

Historical billing and KWEEN payments

Existing historical subscription, top-up, payment, credit, referral, refund, dispute, or KWEEN records remain governed by the terms presented when those transactions occurred together with applicable surviving provisions here. KWEEN transfers may be irreversible. A signature, submitted transaction, explorer link, interface success, or application receipt is not final payment proof. Ezer grants access or credits only after its payment system verifies the qualifying transaction. See the KWEEN payment policy.

Subscriptions, usage, and top-ups

Concierge uses one product-scoped credit wallet for subscription and top-up credits. The wallet cap is 100,000,000 credits. A monthly grant is reduced as needed to remain at the cap. A top-up is offered only when the full 27,000,000-credit grant can be reserved before payment. Credits roll over only while the entitlement remains continuously active. Every positive credit expires when the entitlement ends; negative reversal debt is not erased. Top-ups never activate access. Usage may pause when available credits are exhausted. There is no automatic overage.

Cancellation

You may cancel future recurring Stripe renewals through the provided billing portal. Cancellation normally takes effect at the end of the paid period unless the checkout states otherwise or access is restricted for refund, reversal, fraud, abuse, legal, or security reasons. KWEEN monthly access requires a new qualifying payment for each new period unless Ezer later offers and clearly discloses another method. Provider changes may be scheduled only as non-overlapping successor terms; paying through both providers does not create overlapping access. Stripe subscriptions and KWEEN eligibility remain separate provider processes even though qualifying payments feed the same product-scoped Concierge wallet.

Stripe may provide a 24-hour payment-failure grace period only while a positive usage balance remains. KWEEN does not receive an automatic grace renewal.

Refund policy

If you believe a charge or payment was made in error, contact support@ezerapp.io promptly with enough information to investigate. Ezer may refund duplicate charges, confirmed processing errors, or other amounts it determines appropriate. Consumed usage, completed service periods, token-price changes, wallet mistakes, payments to the wrong token, network, or address, and dissatisfaction with properly delivered metered service are generally non-refundable except where required by law. KWEEN refunds, when approved and technically possible, use the approved USD value converted at a fresh, independently checked KWEEN price at execution. KWEEN refunds require owner approval and manual treasury signing; Ezer does not automatically sign or submit treasury transfers. Credit and referral effects are applied proportionally to the refunded service value and are not removed twice. Nothing here limits non-waivable consumer rights.

Reversals and disputes

Refunds, chargebacks, payment reversals, fraud, duplicate grants, or abuse may result in access restriction, credit adjustment, commission reversal, or account suspension. Ezer will use transaction and ledger evidence to avoid duplicate effects.

Referral program

The Concierge referral program pays 12.5% of qualifying collected service price before provider fees and excluding tax, excludes top-ups, and is subject to attribution, refund, reversal, fraud, self-referral, related-account, and abuse review. Commissions are pending until approved and are manually paid after the $100 claim threshold. A first valid Concierge click can attribute a purchase for 30 days, and the initial purchase plus no more than 11 continuous renewals can qualify. Legacy Desktop attribution does not carry into Concierge. Detailed program terms shown while enrollment is active control if they conflict with this summary. There is no retroactive Concierge commission backfill. See the referral program.

Acceptable use and suspension

The Responsible Use Policy is part of these Terms. Ezer may restrict accounts, crawling, publication, visitor answers, payment access, or referrals to investigate abuse, protect users, comply with law, prevent loss, or secure the service.

Third-party services and availability

Ezer depends on hosting, AI, email, payment, blockchain, browser, website-platform, and network providers. Service may be interrupted, delayed, changed, or unavailable. Ezer may change providers, models, security controls, and non-material product details and may discontinue features with reasonable notice when practical.

Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EZER IS PROVIDED "AS IS" AND "AS AVAILABLE." EZER DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. EZER DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT AI OUTPUT WILL BE ACCURATE OR COMPLETE. RIGHTS THAT CANNOT BE DISCLAIMED REMAIN UNAFFECTED.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EZER AND ITS OWNERS, AFFILIATES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR DIGITAL-ASSET VALUE, ARISING FROM OR RELATED TO THE SERVICE. EZER'S TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID EZER DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY WHERE PROHIBITED BY LAW.

Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless Ezer and its owners, affiliates, contractors, and service providers from third-party claims, damages, losses, and reasonable costs arising from your website, content, unlawful or unauthorized use, violation of these Terms, or infringement of another party's rights. Ezer will provide reasonable notice and may control the defense; you may not settle a claim imposing liability or obligations on Ezer without written consent.

Governing law and disputes

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles. Before filing a claim, you and Ezer agree to send written notice describing the dispute and attempt in good faith to resolve it for 30 days. Claims that are not resolved will be brought exclusively in the state or federal courts located in North Carolina, and each party consents to their jurisdiction, except that either party may bring an eligible claim in small-claims court or seek urgent injunctive relief for security, misuse, or intellectual-property harm. Non-waivable rights and jurisdiction rules remain unaffected.

Changes, assignment, severability, and entire agreement

Ezer may update these Terms prospectively by posting a new version and effective date and providing additional notice when required. You may not assign these Terms without Ezer's consent; Ezer may assign them in connection with a merger, financing, reorganization, sale, or transfer of the service. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions continue. Failure to enforce a provision is not a waiver. These Terms, the Privacy Policy, Responsible Use Policy, and any checkout-specific terms are the entire agreement about the service.
